• Enterprise: Advanced features for power users
• Lifetime: One-time payment for permanent access

3.2 Payment Terms

By subscribing to a paid plan, you agree to:

• Pay all fees associated with your selected subscription tier
• Provide accurate and complete payment information
• Authorize us to charge your payment method on a recurring basis (for subscription plans)
• Pay any applicable taxes in addition to subscription fees

3.3 Billing and Renewal

Subscription plans automatically renew at the end of each billing cycle unless canceled. You will be charged using your selected payment method. Prices are subject to change with 30 days' notice.

3.4 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings or Stripe billing portal
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial subscription periods
• Lifetime subscriptions are non-refundable after purchase
• We reserve the right to offer promotional refunds on a case-by-case basis

4. Acceptable Use

You agree to use the Service only for lawful purposes. You are prohibited from:

• Transmitting harmful code, viruses, or malicious software
• Attempting to gain unauthorized access to our systems or other user accounts

• Harassing, threatening, or abusing other users
• Uploading or sharing inappropriate, offensive, or illegal content

5. User-Generated Content

You retain ownership of any content you create, upload, or share through the Service ("User Content"), including trip itineraries, photos, notes, and feedback.

By uploading User Content, you grant Planici a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content. We do not endorse or guarantee the accuracy of any User Content. We reserve the right to remove any content that violates these Terms or is otherwise objectionable.

6. Third-Party Services and Links

Our Service integrates with third-party services, including:

• Google Maps and Places: Location services and recommendations
• Google Calendar: Calendar synchronization and event management
• Gmail: Email import for booking confirmations
• Stripe: Payment processing and subscription management

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

8. Disclaimers and Limitations

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Travel Recommendations

Planici provides travel planning tools and AI-powered recommendations. We do not guarantee the accuracy, completeness, or reliability of any recommendations. You are solely responsible for your travel decisions and should verify all information independently.

8.3 No Booking Services

Planici is a trip planning and organization tool only. We do not book flights, hotels, or other travel services. Any bookings you make are between you and the respective service providers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANICI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or personal information
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code transmitted through the Service
• Any errors or omissions in any content or loss or damage incurred from using content
• Any travel-related issues, cancellations, delays, or changes

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE PAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

You agree to indemnify, defend, and hold harmless Planici, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) any User Content you upload or share.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Planici operates, without regard to conflict of law provisions.

11.2 Informal Resolution

Before filing a claim, you agree to contact us at support@planici.com to attempt to resolve the dispute informally.

11.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except where prohibited by law. You waive your right to a jury trial or to participate in a class action lawsuit.

12. Changes to Service and Terms

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time
• Update these Terms with 30 days' notice for material changes
• Change pricing for subscription plans with advance notice

Your continued use of the Service after changes constitutes acceptance of the updated Terms.

13. General Provisions

13.1 Entire Agreement

These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Planici.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
